Nondisclosure Agreement (CA)
Sometimes sharing confidential or sensitive information, intellectual property, or trade secrets is a necessary part of doing business. Businesses and individuals will often use a non-disclosure agreement (NDA), also known as a confidentiality agreement, to protect themselves and their interests when necessary.
The main purpose of an NDA is for the recipient of the confidential information to agree not to disclose or share any of it. An NDA should include sections to outline the information being shared, limit what the recipient is allowed to use the information for, and state how long the recipient must keep the information confidential for.
This NDA template is appropriate for situations where one business or individual is providing information to one other business or individual. If the information is being provided to multiple businesses or individuals, each should sign a separate NDA. If both parties are providing information to each other, you should use a Mutual NDA instead.
